Terms of Service

1. Acceptance of Terms

By accessing or using the Traders Guild platform at tradersguild.global (the "Platform"), including any services, features, content, or applications offered through the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, you may not use the Platform.

Traders Guild reserves the right to update these Terms at any time. Continued use of the Platform after any such changes constitutes your acceptance of the new Terms. We will make reasonable efforts to notify registered users of material changes via email or Platform notification.

2. Eligibility

The Platform is intended for institutional and professional participants in the digital asset ecosystem. By registering, you represent that you are at least 18 years old, that you have the legal capacity to enter into a binding agreement, and that you will use the Platform in compliance with all applicable laws and regulations.

3. Account Registration and Security

To access certain features of the Platform, including posting job listings and entering placement agreements, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must immediately notify Traders Guild at security@tradersguild.global if you become aware of any unauthorized use of your account or any other breach of security.

Push notifications. By creating an account on the iOS app, you may receive push notifications related to direct messages and other Platform activity. Notifications are opt-in at the device level (iOS prompts the first time we ask). You can disable notifications system-wide at any time (iOS Settings → Notifications → Guild) or per chat thread (open the chat → tap the bell icon in the header). Disabling notifications does not affect any other Platform functionality.

4. Job Board Services

Traders Guild operates a job board connecting employers in the institutional digital asset space with qualified professionals. By posting a job listing, you represent that: the position described is genuine and currently open; all information provided is accurate and not misleading; and you are authorized to post on behalf of the hiring entity.

Traders Guild reserves the right to remove any listing that violates these Terms, appears fraudulent, or does not meet our quality standards for institutional content. We do not guarantee any specific outcomes from job listings.

5. Placement Agreements and Fees

Employers who hire candidates through introductions facilitated by Traders Guild may be subject to a placement fee. The standard placement fee is 5% of the candidate's first-year compensation, though this may be negotiated on a case-by-case basis within a range of 3% to 15%. The specific fee will be documented in a Placement Agreement signed prior to candidate introduction.

A placement is considered "facilitated by Traders Guild" if the initial introduction between employer and candidate occurred through the Platform, regardless of subsequent direct communication between the parties. Placement fees are due within 30 days of the candidate's start date.

6. Acceptable Use

You agree not to: use the Platform for any unlawful purpose or in violation of any applicable laws or regulations; post false, misleading, or fraudulent content; attempt to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform; use automated scripts, bots, or other automated means to access or interact with the Platform without our express written permission; transmit any viruses, malware, or other harmful code; or interfere with or disrupt the Platform or servers or networks connected to the Platform.

6a. Member Invites and Referral Attribution

The Platform includes share controls that let you invite other professionals to join Traders Guild. When you share your invite link, the resulting URL contains your member identifier so that, if the recipient creates an account, we can credit the invite to you. We use this attribution data to understand how the network grows and may, in the future, use it to power member-rewards or referral programs. Any future paid-referral or revenue-share program will be governed by a separate written agreement between you and Traders Guild; nothing in these Terms creates a present obligation to pay you for invites.

When using invite controls you agree to: invite only individuals you reasonably believe meet our institutional-membership criteria; never auto-share, mass-share, or spam your invite link; never represent the Platform’s features, valuation, or future returns to invitees beyond the marketing materials we provide; and never make claims about ownership, equity, or token rewards that you have not been individually authorized to make. We may invalidate referral attribution, suspend invite access, or terminate the account of any member who circumvents these rules, including by creating accounts to attribute invites to themselves or another member, or by using purchased contact lists.

7. User-Generated Content and Community Conduct

Traders Guild includes user-generated content — profiles, bios, "looking for" statements, intros, and direct messages between members on the iOS app and web. You are solely responsible for the content you submit, and you grant Traders Guild a non-exclusive, worldwide, royalty-free license to host, display, and transmit it for the purpose of operating the Platform.

We have zero tolerance for objectionable content and abusive behavior. The following are strictly prohibited and will result in immediate content removal and, for repeat or severe offenses, account termination:

• Harassment, threats, hate speech, or content that targets or demeans any individual or group on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, age, or disability.
• Sexually explicit material, nudity, or content that sexualizes minors in any form.
• Content that depicts, glorifies, or incites violence, self-harm, or illegal activity.
• Spam, scams, market manipulation, fraudulent investment solicitations, or impersonation of another person or firm.
• Unauthorized disclosure of another person's private information (doxxing).
• Malware, phishing links, or attempts to compromise the Platform or its users.

Every member can report objectionable content or another user, and block any other member, directly from the app. Reports are reviewed by Traders Guild within 24 hours; in clear-cut cases (e.g. explicit material, threats, doxxing) we act immediately. Blocks are mutual and take effect instantly — blocked accounts cannot view, contact, or appear to one another anywhere on the Platform, including in any pre-existing chat thread.

Direct messages. Direct messages between members are subject to the same content rules as profiles and “looking for” statements above. Cold solicitations, market manipulation pitches, fraudulent investment offers, sexually explicit content, and harassment of any kind are prohibited and will result in message removal and, for repeat or severe offenses, account termination. Either party can mute a thread, block the other member, or report a specific message at any time using the in-app controls.

Traders Guild reserves the right, but does not assume the obligation, to monitor user-generated content, and to remove any content or terminate any account at our sole discretion, with or without notice, for any violation of these Terms or for any other reason. Decisions in this area are final.

8. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, research articles, and software, are the exclusive property of Traders Guild and are protected by international copyright, trademark, and other intellectual property laws. Research and analysis published on the Platform may not be reproduced, distributed, or commercially exploited without express written permission.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. Traders Guild does not warrant that the Platform will be uninterrupted, secure, or error-free. Research and analysis published on the Platform is for informational purposes only and does not constitute investment advice, financial advice, or any other form of professional advice.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Traders Guild shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Platform.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association.
